1Introduction

MCC connects you with quality customers who need your expertise. We handle the marketing, booking, and payment processing so you can focus on delivering great automotive service.

This Provider Partnership Agreement ("Agreement") is a contract between you ("Provider", "you", or "your") and My Car Concierge, LLC ("MCC", "we", "us", or "our"). By registering as a Provider on the MCC platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

MCC operates a customer acquisition platform that connects vehicle owners ("Members") with independent automotive service providers like you. As a Provider, you will have the opportunity to bid on service requests posted by Members and, if selected, perform automotive services directly for those Members.

This Agreement governs our partnership — you bring the skills, we bring the customers. Your relationship with Members is separate and governed by the terms you agree upon with each Member for specific services.

2Provider Eligibility

To register and maintain a Provider account on MCC, you must meet and continuously maintain the following requirements:

  • Age Requirement: You must be at least 18 years of age
  • Business Authorization: You must be legally authorized to operate a business in your jurisdiction
  • Professional Licensing: You must hold all licenses, certifications, and permits required by applicable federal, state, and local laws for the services you offer (e.g., automotive repair license, emissions testing certification, etc.)
  • Insurance Coverage: You must maintain general liability insurance with minimum coverage of $1,000,000 per occurrence and provide proof of coverage upon request
  • Vehicle Insurance: If providing mobile services, you must maintain commercial auto insurance
  • Background Check: You may be required to pass a background check at MCC's discretion
  • Accurate Information: All information provided in your application must be accurate, current, and complete

Failure to maintain these eligibility requirements at any time may result in immediate suspension or termination of your Provider account.

3Independent Contractor Status

YOU ARE AN INDEPENDENT CONTRACTOR, NOT AN EMPLOYEE. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship between you and MCC.

As an independent contractor:

  • You have complete control over when, where, and how you perform services
  • You are free to accept or reject any bid opportunity on the platform
  • You are free to work for competing platforms and maintain other business relationships — MCC believes in earning your loyalty, not locking you in
  • You are solely responsible for paying all applicable taxes, including self-employment tax, income tax, and any other taxes required by law
  • You are responsible for providing your own tools, equipment, and supplies
  • You are not entitled to any employee benefits from MCC, including health insurance, retirement plans, workers' compensation, or paid time off
  • You must comply with all applicable laws regarding independent contractor status

MCC does not control the manner or method by which you perform your services. MCC's role is limited to providing the technology platform that connects you with Members.

4Services and Standards

You are solely responsible for the quality, safety, and legality of all services you provide through the MCC platform. You agree to:

  • Perform all services in a professional, workmanlike manner consistent with industry standards
  • Complete all accepted jobs as described in your bid and agreed upon with the Member
  • Use only quality parts and materials appropriate for the service being performed
  • Accurately represent your qualifications, experience, and capabilities in your profile
  • Only bid on services you are qualified and legally permitted to perform
  • Communicate promptly and professionally with Members regarding scheduling, progress, and any issues
  • Arrive on time for scheduled appointments or provide advance notice if delays occur
  • Leave the work area clean and dispose of all waste materials properly
  • Provide warranties on your work as required by law or as agreed with the Member

MCC does NOT inspect, verify, or guarantee the quality of your work. Members rely on your professional reputation and the ratings/reviews system.

5Bid Credits and Bidding

The MCC platform uses a Bid Credit system for Providers to submit bids on Member service requests.

  • Purchasing Bid Credits: Bid Credits are purchased in packages through the platform. Pricing is displayed at the time of purchase.
  • Using Bid Credits: Each bid you submit on a service request consumes one or more Bid Credits, depending on the service category.
  • Bid Submission: When you submit a bid, you are making a binding offer to perform the described services at the quoted price.
  • Member Selection: Members review bids and select a Provider at their discretion. MCC does not influence or guarantee Member selection.

BID CREDITS ARE NON-REFUNDABLE. Once purchased, Bid Credits cannot be refunded, exchanged for cash, or transferred to another account, regardless of whether your bids are accepted by Members.

  • Bid Credits do not expire as long as your account remains active and in good standing
  • If your account is terminated for any reason, all unused Bid Credits are forfeited
  • MCC reserves the right to modify Bid Credit pricing with 30 days notice to existing Providers

6Payment Terms

All payments on the MCC platform are processed through Stripe, our third-party payment processor. By using the platform, you agree to Stripe's terms of service.

  • Job Pricing: You set your own prices when submitting bids. MCC does not set or control your pricing.
  • All-Inclusive Pricing: All bids must be all-inclusive, representing the total amount the Member will pay. Your bid must include:
    • Parts and materials
    • Labor charges
    • Applicable taxes
    • Shop and service fees
    • Disposal fees (if any)
    • Any other charges
    No hidden fees or surprise charges are permitted. Members must know exactly what they will pay when accepting a bid.
  • Price Adjustments: If you discover additional work is needed during service, you may request a price adjustment. The new amount must also be all-inclusive. Members have 4 hours to approve or decline the adjustment. If no response is received within 4 hours, you may suspend work until the Member responds.
  • Payment Hold: When a Member accepts your bid, the payment is held in escrow until the job is completed.
  • Payment Release: Funds are released to your connected Stripe account after the Member confirms job completion or after the applicable review period (typically 48 hours after marking the job complete).
  • Payout Timing: Once released, funds are transferred to your bank account according to Stripe's standard payout schedule (typically 2-3 business days).
  • Stripe Account: You must connect a valid Stripe account to receive payments. You are responsible for keeping your Stripe account in good standing.

You are solely responsible for all taxes on income earned through the platform. MCC will provide applicable tax forms (e.g., 1099) as required by law.

7Ratings and Reviews

The MCC platform includes a ratings and reviews system that allows Members to rate Providers after completed services. This system is essential to maintaining platform quality and Member trust.

  • Rating Scale: Members rate Providers on a 1-5 star scale after each completed job
  • Public Display: Your average rating and reviews are displayed publicly on your Provider profile
  • Response Option: You may respond professionally to reviews through the platform

SUSPENSION POLICY: Providers who maintain an average rating below 4.0 stars after receiving 3 or more reviews may have their account suspended. Repeated low ratings may result in permanent termination.

Suspension due to low ratings may be appealed by contacting MCC support. Reinstatement is at MCC's sole discretion and may require completion of additional training or verification.

8Provider Conduct

As a Provider on the MCC platform, you agree to conduct yourself professionally at all times. You must:

  • Treat all Members, MCC staff, and other Providers with respect and courtesy
  • Communicate professionally through the platform and in person
  • Never use threatening, harassing, discriminatory, or abusive language or behavior
  • Complete jobs booked through MCC on the platform — this ensures payment protection for both parties
  • Process payments for MCC-booked jobs through the platform's secure payment system
  • Maintain appropriate professional appearance when meeting with Members
  • Never misrepresent your identity, qualifications, or the nature of services provided
  • Protect Member privacy and not share their personal information with third parties
  • Report any safety concerns or suspicious activity to MCC immediately

Repeated conduct issues may result in account review, and in serious cases, suspension.

9Insurance and Liability

You are solely responsible for maintaining adequate insurance coverage for your business operations.

  • You must maintain general liability insurance with minimum coverage of $1,000,000 per occurrence
  • You must maintain professional liability/errors & omissions insurance if applicable to your services
  • You must maintain workers' compensation insurance if you have employees
  • You must provide proof of insurance upon request by MCC
  • Your insurance must name MCC as an additional insured upon request

MCC IS NOT LIABLE for any damages, injuries, claims, or losses arising from services you provide. You are solely responsible for any and all claims related to your work, including property damage, personal injury, and defective workmanship.

You understand and agree that MCC does not provide any insurance coverage for your services. Any claims arising from your services are your sole responsibility.

10Indemnification

You agree to indemnify, defend, and hold harmless MCC, its officers, directors, employees, agents, affiliates, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your provision of services to Members
  • Any breach of this Agreement by you
  • Your violation of any law, regulation, or third-party right
  • Any claim that you are an employee of MCC rather than an independent contractor
  • Any tax liability, penalty, or interest resulting from your failure to pay required taxes
  • Any claims by your employees or subcontractors
  • Any property damage or personal injury caused by your services
  • Any warranty claims or claims of defective workmanship

This indemnification obligation survives the termination of this Agreement.

11Termination

You can leave anytime — there are no long-term commitments or exit penalties. This Agreement may be terminated as follows:

  • By You: You may terminate this Agreement at any time by deactivating your Provider account through the platform
  • By MCC: MCC may terminate this Agreement with 30 days written notice
  • By MCC For Cause: MCC may immediately terminate this Agreement for cause, including but not limited to: violation of this Agreement, fraudulent activity, illegal conduct, low ratings, failure to maintain eligibility requirements, or any conduct that damages MCC's reputation or platform

Upon termination:

  • Your access to the Provider platform will be revoked
  • Unused Bid Credits may be forfeited upon termination for cause. Credits are not refundable but remain available as long as your account is active.
  • Pending payments for completed jobs will be paid out as normal. We don't hold your earned money.
  • You must complete any in-progress jobs or make arrangements acceptable to the affected Members
  • Your obligations under the indemnification and confidentiality sections survive termination

12Dispute Resolution

Disputes regarding services are between you and the Member. MCC is not a party to any service agreement between Providers and Members.

  • You and the Member should first attempt to resolve any disputes directly
  • MCC may provide mediation assistance at its discretion but is not obligated to do so
  • MCC is not liable for any disputes, claims, damages, or losses arising from services you provide
  • MCC may withhold payment pending resolution of disputes at its sole discretion

MCC encourages professional resolution of disputes. Providers who frequently have unresolved disputes may be subject to account review and potential suspension.

For disputes between you and MCC regarding this Agreement or the platform, you agree to first attempt resolution through MCC's support channels. If unresolved, disputes will be settled by binding arbitration in accordance with the American Arbitration Association rules.

13Modifications to Agreement

MCC reserves the right to modify this Agreement at any time. Changes will be communicated to you via:

  • Email notification to your registered email address
  • In-app notification through the Provider dashboard
  • Posting the updated Agreement on the platform

Material changes will be provided with at least 30 days notice before taking effect. Your continued use of the platform after the effective date of any changes constitutes your acceptance of the modified Agreement.

If you do not agree to any modifications, you must discontinue use of the platform and deactivate your account before the changes take effect.

14Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any disputes arising from this Agreement or your use of the platform shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Miami, Florida, unless otherwise agreed by the parties.

You waive any right to participate in class action lawsuits or class-wide arbitration against MCC. If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.
